01 Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, software, features, content, products and services offered under the STRIVE name (collectively, the "Services").

By creating an account, purchasing a subscription, accessing the Services, or otherwise using the Services, you acknowledge that you have read, understood and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Services.

02 Eligibility

You must be at least eighteen (18) years of age and legally capable of entering into a binding contract to create an account or use the Services.

By using the Services, you represent and warrant that you satisfy these requirements and that your use of the Services is not prohibited by applicable law.

03 User Accounts

Certain features require you to create a STRIVE account. You agree to provide accurate, current and complete information and to keep your account information reasonably up to date.

You are responsible for maintaining the confidentiality of your account credentials and for activities occurring through your account.

You agree to notify us promptly if you believe your account has been accessed or used without authorization.

You may not sell, transfer, license or otherwise provide your account credentials to another person without our prior written authorization.

04 STRIVE Services

STRIVE may provide tools that allow users to record, organize, calculate, monitor and review information relating to nutrition, meals, calories, macronutrients, exercise, workouts, body weight, body composition, habits, goals, progress and other wellness-related information.

Features may change over time. We may add, modify, improve, restrict or discontinue individual features where reasonably necessary to operate or improve the Services.

Certain features may be available only under particular subscription plans.

05 Health, Fitness and Nutrition Disclaimer

Information made available through the Services, including calorie estimates, nutritional values, macronutrient calculations, weight trends, workout information, goals, recommendations, analytics and other information, is provided for informational and general wellness purposes only.

Nothing provided by STRIVE is intended to diagnose, treat, cure or prevent any disease, injury or health condition or to substitute for advice from a physician, registered dietitian or other qualified healthcare professional.

Nutritional and fitness information may be based on information entered by users, estimates, calculations, third-party information, food labels, databases or other sources. Such information may be incomplete, inaccurate or inappropriate for your individual circumstances.

Exercise and changes to diet may involve risks. Before beginning or materially changing an exercise, nutrition or weight-management program, you should consult an appropriately qualified healthcare professional when warranted by your health, medications, medical history or circumstances.

You are responsible for determining whether any activity, exercise, nutrition goal, dietary change or other action is appropriate for you.

STRIVE is not an emergency service. If you believe you are experiencing a medical emergency, contact local emergency services immediately.

06 Subscription Plans and Automatic Renewal

STRIVE may offer free and paid subscription plans. Current plan features and pricing are displayed on our Plans page and during enrollment.

The advertised "$8.25 per month" amount for the Annual plan is a monthly equivalent calculated from the $99 annual subscription price. The Annual plan is billed as one annual charge of $99 and is not billed as twelve monthly payments of $8.25.

Automatic Renewal

Unless otherwise stated at enrollment, paid subscriptions automatically renew at the end of each applicable billing period until canceled.

By enrolling in a recurring paid subscription, you authorize STRIVE and its payment service providers to charge the payment method associated with your account for the applicable subscription price, applicable taxes and other charges disclosed to you at checkout.

Cancellation

You may cancel a paid subscription through the cancellation functionality provided within your STRIVE account or through another cancellation method we make available.

To avoid a subsequent renewal charge, cancellation must be completed before the applicable renewal is processed.

Unless otherwise required by law, canceling a subscription stops future renewals but does not automatically terminate access for the remainder of a period that has already been paid.

Changes to Subscription Pricing

We may change subscription pricing or plan features from time to time. If a change affects an existing recurring subscription, we will provide notice as required by applicable law before the changed price takes effect.

07 Payments, Taxes and Refunds

Paid subscriptions may be processed through third-party payment processors. Your use of those payment services may also be subject to the payment processor's terms and privacy practices.

You agree to provide valid payment information and authorize charges associated with the subscription you select.

Prices displayed by STRIVE may exclude taxes unless otherwise stated. Applicable sales, use, value-added or similar taxes may be added where required.

Except where required by applicable law or expressly stated otherwise at the time of purchase, subscription payments are non-refundable and we do not provide refunds or credits for partially used billing periods.

If a payment cannot be completed, we may retry the payment, request updated payment information, restrict premium functionality or suspend the applicable subscription.

08 Privacy, Device Information and Analytics

Your privacy is important to us. Our collection, processing, retention and disclosure of personal information is further described in our Privacy Policy .

When you access or interact with STRIVE, we and service providers acting on our behalf may automatically collect technical, device, security, performance and usage information.

Depending on how you access the Services, this information may include:

• Internet Protocol ("IP") address;
• device type, device model and device characteristics;
• browser type and version;
• operating system and version;
• screen or display information;
• language and regional settings;
• referring and exit pages or URLs;
• dates and times of access;
• pages, screens and features viewed or used;
• buttons, links and interface elements interacted with;
• session duration and navigation paths;
• application, server and network performance information;
• diagnostic information, errors and crash data;
• security and authentication events;
• approximate geographic location inferred from an IP address;
• cookies, session identifiers and similar technologies; and
• other information reasonably necessary to understand the operation and performance of the Services.

We may use this information to operate and maintain the Services, measure site and application performance, diagnose technical issues, understand feature usage, improve usability, develop and evaluate features, maintain security, prevent fraud and abuse, enforce these Terms, and generate aggregated or de-identified statistics.

Our use of analytics providers, cookies and similar technologies, including any available choices or consent mechanisms, is described more fully in our Privacy Policy.

Nutrition, exercise, body weight, health and wellness-related information may be considered sensitive information under certain laws. We will process such information in accordance with our applicable privacy disclosures and legal obligations.

09 Your Information and Content

You retain your ownership rights in information and content that you submit to the Services, including nutrition records, goals, workout information, measurements and other information associated with your account.

You grant STRIVE a limited, non-exclusive license to host, store, reproduce, process and otherwise use that information only as reasonably necessary to operate, maintain, secure, support and improve the Services and as otherwise described in our Privacy Policy.

You represent that information you submit does not violate applicable law or the rights of another person.

10 Acceptable Use

You agree not to misuse the Services. Prohibited activities include, without limitation:

• accessing another person's account without authorization;
• interfering with or disrupting the Services;
• attempting to bypass authentication, security, rate limits or access controls;
• introducing malware, malicious code or harmful content;
• using automated methods to scrape, extract or access information except where expressly authorized;
• reverse engineering the Services except where applicable law expressly permits such activity;
• using the Services for fraudulent, unlawful, abusive or deceptive purposes;
• impersonating another person or entity; or
• using the Services in a manner that infringes intellectual property, privacy or other rights.

11 STRIVE Intellectual Property

The Services, including STRIVE branding, logos, software, interfaces, designs, graphics, text, databases, compilations, functionality and other materials provided by STRIVE, are owned by or licensed to STRIVE and are protected by applicable intellectual property laws.

Subject to these Terms, STRIVE grants you a limited, personal, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purposes.

No ownership interest in STRIVE intellectual property is transferred to you.

12 Third-Party Services

The Services may integrate with or contain links to products, websites, information, payment processors, analytics providers or services operated by third parties.

STRIVE does not control third-party services and is not responsible for their independent practices, availability, accuracy, security or content.

Your use of a third-party service may be governed by separate terms and privacy policies provided by that third party.

13 Service Availability

We endeavor to maintain reliable Services but do not guarantee uninterrupted or error-free availability.

The Services may occasionally be unavailable because of maintenance, upgrades, technical failures, infrastructure problems, third-party outages, security events or circumstances outside our reasonable control.

14 Suspension and Termination

You may stop using the Services at any time and may request account closure through functionality we provide or by contacting us.

We may suspend or terminate access where we reasonably believe you have materially violated these Terms, created a security risk, engaged in fraudulent or unlawful activity, failed to pay amounts due, or where suspension or termination is reasonably necessary to protect STRIVE, our users or third parties.

Account termination does not automatically entitle you to a refund except where required by applicable law.

15 Disclaimer of Warranties

Some jurisdictions do not permit certain warranty exclusions, so some of these exclusions may not apply to you.

16 Limitation of Liability

These limitations apply only to the extent permitted by applicable law and do not exclude liability that cannot lawfully be excluded or limited.

17 Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless STRIVE and its affiliates, officers, directors, employees, contractors and agents from claims, liabilities, damages, losses and reasonable expenses arising from your material violation of these Terms, misuse of the Services, violation of applicable law, or infringement of another person's rights.

18 Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services, business practices, technology or applicable legal requirements.

When these Terms are updated, we will revise the "Last Updated" date shown above. Where required by law or where changes are material, we will provide additional notice.

Continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by law.

19 Governing Law and Disputes

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

Unless applicable law provides otherwise, any judicial proceeding arising from or relating to these Terms or the Services shall be brought in a court of competent jurisdiction located in [COUNTY], [STATE], and you consent to the personal jurisdiction and venue of those courts.

20 General Terms

Entire Agreement

These Terms, together with applicable policies and terms expressly incorporated by reference, constitute the agreement between you and STRIVE concerning the Services.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

No Waiver

Failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets or similar business transaction, subject to applicable law.

Electronic Communications

You consent to receive notices and communications from us electronically, including through the Services or at the email address associated with your account, where permitted by applicable law.
